Instructor Terms

When you sign up to become an instructor on Our platform, you agree to abide by these Instructor Terms (“Terms“). These Terms cover the details about the aspects of our platform that are relevant to instructors and are incorporated by reference into our Terms of Use, the general terms that govern your use of our Services. Any capitalized terms that aren’t defined in these Terms are defined as specified in the Terms of Use and Privacy Policy.

As an instructor, you are contracting directly with Masdar Online Learning (a registered company in the Hashemite Kingdom of Jordan ). By applying to become an instructor on bab.co, you declare that you have read and that you agree to all of Our terms and policies, including Instructor Terms, Intellectual Property Policy, Quality Policy, Pricing and Payments Policy, and the Refunds Policy.

General Terms

Instructor Obligations

As an instructor, you are responsible for any and all information that you provide including but not limited to your photo, previous experience, qualifications, and bio, as well as for all content that you post, including lectures, quizzes, exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements (“Submitted Content“).

You agree and guarantee that:

  • you will provide and maintain accurate account information
  • you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Us to use your Submitted Content as specified in these Instructor Terms and in the Terms of Use
  • your Submitted Content does not and will not infringe or misappropriate any third party’s intellectual property rights
  • you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of Our Services
  • you will ensure a quality of service that corresponds with the standards of your industry and instruction and teaching services in general

You also guarantee that you will not:

  • post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory, or libelous content or information
  • post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user
  • use the Services for business other than providing tutoring, teaching, and instructional services to students
  • engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording
  • frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services
  • impersonate another person or gain unauthorized access to another person’s account
  • interfere with or otherwise prevent other instructors from providing their services or content
  • abuse Our resources, including support services
License to Us

You grant Us the rights detailed in the Terms of Use to offer, market, sell, and otherwise exploit your Submitted Content. This includes the right to add captions or otherwise modify Submitted Content to ensure and improve accessibility. You also authorize Us to sublicense these rights to your Submitted Content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Content submitted to Us, becomes Our property and may not be removed partially or entirely unless for purposes of updating Unless otherwise agreed, you have the right to remove all or any portion of your Submitted Content from the Services at any time. Except as otherwise agreed, Our right to sublicense the rights in this section will terminate with regard to new users 60 days after the Submitted Content’s removal. However, the following shall apply in case of the removal of Submitted Content:

  • Rights given to students before the Submitted Content’s removal will continue in accordance with the terms of those licenses (including any grants of lifetime access).
  • Our right to use such Submitted Content for marketing purposes shall survive termination.

We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Us permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Our content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

Trust and Quality

You agree to abide by Our content quality standards or policies prescribed by Us from time to time including the quality standards mentioned in our Quality Policy. You should check Our policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to Our approval, which we may grant or deny at our sole discretion.

We reserve the right to remove content, suspend payouts, and/or ban instructors for any reason at any time, without prior notice, including in cases where:

  • an instructor or content does not comply with our policies or legal terms (including the terms and policies mentioned in all legal pages)
  • content falls below our quality standards or has a negative impact on the student or user experience
  • an instructor engages in behavior that might reflect unfavorably on Us or bring Us into public disrepute, contempt, scandal, or ridicule
  • an instructor engages the services of a marketer or other business partner who violates Our policies
  • an instructor uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates Our policies
  • as determined by Us at our sole discretion.
Relationship to Other Users

Instructors don’t have a direct contractual relationship with students or users, so the only information you’ll receive about students or users is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on Our platform or its extensions, and that you won’t solicit additional personal data or store students’ or users’ personal data outside Our platform or its extensions. You agree to indemnify Us against any claims arising from your use of students’ or users’ personal data. You also agree that you will not contact students or users except through the tools provided by Us unless provided with written consent from the company operating the platform. Should you attempt to contact students or users on your own without Our permission , you will be held legally liable for any damages that We incur and any amounts within your account will be frozen and seized by Us immediately until a decision is made regarding the legal damages.

Using the Forums

The forums are hosted by Us, and are therefore by extension considered a part of the platform. Any misuse of the forums will be considered a breach of the terms of use and will result in the same actions that will be taken in case any other terms are broken. The rules of the forums are posted in the Forum Rules section and will be updated when necessary. It is the form users’ responsibility to check the latest forum rules for updates before posting any content on the forums.

Pricing

Setting the Price

When creating a course, you will have to select the base price for that course. Please refer to our Pricing and Payments Policy for the standard prices that are implemented on bab.co. In case you have compelling reason to believe that your course offers something that is exceptional that it warrants breaking the standardized pricing plan, you should inform us using the contact form and provide us with a detailed explanation and the necessary supporting evidence, if any.

You also agree to give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.

Transaction Deductibles

All purchases from the Hashemite Kingdom of Jordan will be subject to a 16% value added tax as per the local tax laws of the Kingdom of Jordan. If a product or service was purchased by a student that lives in a country that requires Us to remit sales or use taxes, value added taxes (VAT), or other similar transaction taxes (“Transaction Taxes“), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Fees are collected by the mobile platform (such as Apple’s App Store or Google Play). 

Transfer Fees

Any fees for transferring payments to the instructors will be deducted from the instructor’s payment.

Therefore, we recommend that instructors who are located outside Jordan choose to receive their payments via PayPal to minimize bank transfer charges.

Payments

Revenue Share

We follow a revenue share payment system that is explained in detail in our Pricing and Payments Policy. All taxes and fees are deducted from the charged amounts and then the net amount is divided between the instructor and Us as per the breakdown mentioned in our Pricing and Payments Policy.

Receiving Payments

For us to pay you in a timely manner, you must own a PayPal account or a bank account in good standing and must keep us informed of the correct email associated with your account. You must also provide any identifying information or tax documentation that are necessary for payment of due amounts, and you agree that we have the right to withhold appropriate taxes from your payments if we are required by law to do so. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.

Payments to instructors are released on a monthly basis. Payments for any month are issued within 10 days of the beginning of the following month for live classes. As for payments for purchased courses, they will be released along with the next scheduled released payment for live classes after the expiration of the refund period that is detailed in the Refunds Policy. If an instructor has no pending payments for live classes, the payment will be released within 10 days of of the beginning of the month following the expiration of the refund period.

We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law or terms and conditions.

Refunds

You acknowledge and agree that students have the right to receive a refund, as detailed in the Refunds Policy. Instructors will not receive any revenue from transactions for which a refund has been granted under the Terms of Use and the Refunds Policy.

If a student asks for a refund that is valid after we have paid the concerned instructor, we reserve the right to:

  • deduct the amount of the refund from the next payment sent to the instructor
  • where no further payments are due to the instructor or their due payments are insufficient to cover the value of the refunded amounts, we will require the instructor to refund any amounts refunded to students for the instructor’s refunded Submitted Content in question.

Trademarks

While you are a published instructor and subject to the requirements below, you may use our trademarks where we authorize you to do so.

However, you must:

  • only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish
  • only use our trademarks in connection with the promotion and sale of your Submitted Content available on bab.co or your participation on bab.co
  • immediately comply if we request that you discontinue use

You must not:

  • use our trademarks in a way that may be misleading or disparaging
  • use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services unless we do
  • use our trademarks in a way that violates applicable law
  • use our trademarks in connection with an obscene, indecent, or unlawful topic or material

Termination of the Agreement

Deleting Your Account

Should you choose to delete your account for any reason, please contact us on registration@bab.co. We’ll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before deleting your account. You understand that if students have previously enrolled in your Submitted Content, your name and that Submitted Content may remain accessible to those students after your account is deleted. If you need help or encounter difficulty deleting your account, you can contact us via our contact form.

Additionally, you acknowledge that any Submitted Content that is considered to be Our property may still be used by Us at our discretion. By deleting your account, you will forfeit your right to any further compensation for Submitted Content that is Our property.

Pending Amounts

Any pending amounts for the instructor will be released along with the next payout cycle as determined in the Pricing and Payments Policy.

Miscellaneous Legal Terms

Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and We reserve the right to modify and/or make changes to these Terms at any time at our sole discretion. If we make any changes that we deem are necessary for you to know, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

Translations

Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

Relationship Between Us

You and We agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

Survival of the Agreement

The following sections shall survive even after the expiration or termination of these Terms: License to Us, Relationship to Other Users, Receiving Payments, Refunds, Deleting Your Account, and Miscellaneous Legal Terms.
